Product Use & Intellectual Property License Agreement
IMPORTANT – READ CAREFULLY BEFORE OPENING PACKAGING, INSTALLING, OR USING THE PRODUCT.
This Product Use & Intellectual Property License Agreement (this “Agreement”) is a legal agreement
between you (either an individual or a single entity, “Licensee”) and Walls&Forms, Inc., a Texas
corporation with its principal place of business at 15000 Grand River Road, Suite 111, Fort Worth, TX 76155 USA
(“Walls&Forms”) for the T2+ Modular Wall System hardware, including all aluminum frames, connectors,
panels, accessories, and associated documentation (collectively, the “Product”).
By opening the packaging, installing, or using the Product, you agree to be bound by the terms of this Agreement.
If you do not agree to these terms, do not open, install, or use the Product and return it, unopened, to your place
of purchase for a full refund within thirty (30) days of purchase.
1. Sale of Hardware and Grant of License
Subject to full payment, Walls&Forms sells you the physical units of the Product. Separately, Walls&Forms grants you
a limited, non-exclusive, non-transferable (except as provided in Section 10), non-sublicensable license to use the
patented T2+ Modular Wall System embodied in the Product, including its frame profiles, connection system, and
associated documentation, solely:
- for personal, retail, showroom, trade-show, pop-up, office, or home purposes; and
- in accordance with the permitted uses and restrictions set forth in this Agreement.
2. Ownership and Intellectual Property
The T2+ frame profile and connection system are protected by one or more issued and pending U.S. patents and may
also be protected by copyright, trademark, and trade secret laws. Walls&Forms retains all right, title, and
interest in and to all intellectual property rights in and relating to the Product.
You acquire ownership only of the physical units of the Product that you purchase. No rights in or to any patents,
designs, CAD files, tooling, or know-how are transferred to you by this Agreement, except for the limited license
granted in Section 1.
3. Permitted Uses
Subject to this Agreement, you may:
- Install, uninstall, and reinstall the Product in normal use.
- Reconfigure the Product using genuine Walls&Forms T2+ components and accessories.
- Move the Product to different locations within the same legal entity (e.g., between your own stores, offices, or
facilities). - Use third-party shelves, hooks, slatwall inserts, lighting, and other accessories that physically fit the system,
so long as they do not copy or reproduce the patented T2+ frame profile or connectors. - Photograph or film the assembled Product and use those images in your own internal or external marketing and
promotional materials.
4. Prohibited Uses
You may not, and may not permit any third party to:
- Copy, 3D-scan, CNC-machine, extrude, mold, or otherwise manufacture frames, connectors, or other components that
replicate or are substantially based on the patented T2+ design. - Reverse-engineer, decompile, or otherwise analyze the Product for the purpose of creating or assisting in the
creation of any competing or compatible frame or wall system. - Remove, obscure, or alter any patent markings, trademarks, logos, copyright notices, or other proprietary notices
on the Product or its packaging. - Distribute, publish, or otherwise share any CAD files, technical drawings, or other documentation of the patented
components, except as expressly authorized in writing by Walls&Forms. - Use the Product, or any portion of it, to design, manufacture, promote, or support any competing wall, frame, or
fixture system.
Note: Nothing in this Section 4 prevents you from using third-party slatwall inserts, shelves, or
generic accessories that physically fit the T2+ system, provided they do not copy or reproduce the patented T2+
frame profile, connector geometry, or other protected features.
5. Installation, Safety, and Compliance
You are solely responsible for:
- Ensuring that the Product is installed, anchored, and loaded in accordance with Walls&Forms’ installation
instructions and any applicable load ratings; - Complying with all applicable building codes, fire codes, safety regulations, and landlord/venue requirements; and
- Ensuring that the Product is not used as a structural or load-bearing wall or in any application for which it is
not designed or rated.
Walls&Forms is not responsible for any damage, injury, or loss resulting from improper installation, misuse,
overloading, alteration, or failure to follow written instructions and safety guidelines.
6. Limited Hardware Warranty
Walls&Forms warrants the Product against defects in materials and workmanship for three (3) years from the date of
purchase, under normal use and installation. Full warranty terms, including exclusions and remedies, are provided in
the separate Limited Warranty document included with the Product or available at
www.wallsforms.com/warranty.
In the event of any conflict between this Agreement and the Limited Warranty, the Limited Warranty controls with
respect to warranty terms.
7. Disclaimer of Warranties
EXCEPT FOR THE EXPRESS LIMITED WARRANTY IN SECTION 6, THE PRODUCT IS PROVIDED “AS IS” AND “AS
AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALLS&FORMS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WALLS&FORMS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, REVENUE, BUSINESS, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE PRODUCT OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, WALLS&FORMS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PRODUCT OR THIS AGREEMENT
SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
9. Term and Termination
This Agreement is effective upon your first opening of the packaging, installation, or use of the Product and
continues for so long as you own or use the Product, unless terminated earlier.
Walls&Forms may terminate this Agreement immediately upon written notice if you materially breach any provision of
this Agreement, including without limitation any prohibited use in Section 4. Upon termination:
- Your license and authorization to use the patented T2+ system and related intellectual property automatically ceases; and
- You must cease all uses of the Product that rely on the licensed intellectual property and refrain from any
further activity that would infringe Walls&Forms’ patents or other intellectual property rights.
Nothing in this Section 9 requires you to return or destroy lawfully purchased physical units of the Product, but
any continued use in violation of this Agreement may constitute infringement of Walls&Forms’ intellectual property
rights and may be subject to legal enforcement.
10. Transfer
You may permanently transfer the Product and the rights granted under this Agreement to another end-user (the
“Recipient”) only if:
- You transfer the Product and all associated components and documentation to the Recipient;
- The Recipient agrees to be bound by all terms of this Agreement; and
- You retain no copies of any proprietary documentation, CAD files, or other materials relating to the Product.
Any other assignment, sublicense, or transfer of this Agreement or the Product is void without the prior written
consent of Walls&Forms.
11. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard
to its conflict of law principles. The parties agree that the exclusive jurisdiction and venue for any dispute,
claim, or controversy arising out of or relating to the Product or this Agreement shall be the state and federal
courts located in Dallas County, Texas, and the parties hereby consent to the personal jurisdiction of such courts.
12. Miscellaneous
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be enforced to the
maximum extent permissible and the remaining provisions shall remain in full force and effect. No failure or delay
by Walls&Forms in exercising any right or remedy under this Agreement shall constitute a waiver of such right or
remedy. This Agreement, together with the applicable invoice and the Limited Warranty, constitutes the entire
agreement between you and Walls&Forms with respect to the Product and supersedes all prior or contemporaneous
understandings, proposals, or agreements, whether oral or written.
